The Site is operated by VIGIL Inc. By accessing or using the Site, you agree to be bound by these Terms and Conditions. If you do not agree, do not use the Site. You represent that you are at least the age of majority in your jurisdiction and that you have the legal authority to accept these Terms. If you are using the Site on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes the organization.

Content may include descriptions of products, services, capabilities, diagrams, specifications, performance statements, use cases, timelines, or other information. That information may change without notice and may not reflect the most current version of any product or service. Nothing on the Site is a binding offer, quote, warranty, guarantee, service level commitment, or promise of results unless it is expressly included in a written agreement signed by VIGIL Inc. To the extent liability is not excluded, VIGIL Inc.’s total aggregate liability for claims related to the Site will not exceed one hundred dollars (US $100) or the minimum amount required by law, whichever is greater.

You agree to defend, indemnify, and hold harmless VIGIL Inc. and its officers, directors, employees, contractors, agents, affiliates, and suppliers from and against any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys’ fees, arising from or related to your use of the Site, your Submissions, your violation of these Terms, or your violation of any rights of another party.

We may update, modify, suspend, or discontinue any part of the Site at any time without notice. We may also update these Terms and Conditions from time to time. Any updates will be posted on this page with an updated “Last updated” date. Your continued use of the Site after changes are posted means you accept the revised Terms.

These Terms are governed by the laws of the State of Tennessee, without regard to conflict of law rules. You agree that any dispute arising out of or related to the Site or these Terms will be resolved exclusively in the state or federal courts located in Tennessee, and you consent to personal jurisdiction and venue in those courts. If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision will be severed and the remainder will remain in full force and effect. Failure to enforce any provision is not a waiver of our right to enforce it later. These Terms, together with the Privacy Policy and any other legal notices posted on the Site, constitute the entire agreement between you and VIGIL Inc. regarding the Site.
